These Affiliate Program Terms & Conditions (“Terms”) govern participation in the Affiliate Marketing Program (“Program”) operated by LariDea - Kids' Café (“LariDea", “we,” “ us,” or “ our”). By applying for or participating in the Program, you (“Affiliate”, “you” ) agree to be bound by these Terms.
1. Eligibility
1.1 The Program is open to individuals and legal entities who are at least 18 years old.
1.2 Affiliates may include parents, content creators, educators, community administrators, businesses, or organizations aligned with family-friendly values.
1.3 LariDea reserves the right to approve or reject any application at its sole discretion.
2. Enrollment & Acceptance
2.1 To participate, Affiliates must complete the official application form and receive written approval from LariDea.
2.2 Upon acceptance, Affiliates will receive a unique referral code, link, or QR code (“Referral Tools”).
2.3 Participation begins only after confirmation of acceptance.
3. Affiliate Obligations
3.1 Affiliates agree to promote LariDea in a truthful, ethical, and family-appropriate manner.
3.2 Affiliates must not:
- Make false, misleading, or exaggerated claims
- Misrepresent pricing, services, or promotions
- Engage in spam, deceptive marketing, or unethical practices
- Use offensive, political, or inappropriate content
3.3 Affiliates must comply with all applicable laws, regulations, and platform rules (including social media policies).
4. Referral Rules
4.1 A referral is considered valid when:
- A new customer visits or books using the Affiliate’s Referral Tools, and
- The transaction is completed and paid in full.
4.2 Self-referrals are not allowed.
4.3 Existing customers may not be claimed as new referrals unless explicitly approved by LariDea.
4.4 LariDea's tracking and records are final in determining referral validity.
5. Commission & Rewards
5.1 Affiliates may earn
- Cash commissions, and/or
- Non-cash rewards (e.g., free play hours, vouchers, discounts), as communicated separately in the Program details.
5.2 Commission rates, reward types, and eligibility may vary by campaign or tier.
5.3 Rewards are calculated monthly and issued after verification.
5.4 LariDea reserves the right to withhold or cancel rewards for:
- Fraudulent or suspicious activity
- Violations of these Terms
- Cancelled or refunded customer transactions
6. Payments
6.1 Cash commissions (if applicable) are paid monthly, subject to minimum payout thresholds communicated by LariDea.
6.2 Affiliates are responsible for providing accurate payment details.
6.3 Affiliates are solely responsible for any applicable taxes, fees, or charges.
7. Marketing Materials & Intellectual Property
7.1 Affiliates may use LariDea-provided logos, images, and content solely for Program promotion.
7.2 All intellectual property remains the exclusive property of LariDea.
7.3 Affiliates may not modify brand assets without prior written consent.
8. Confidentiality
8.1 Affiliates may receive confidential or non-public information regarding LariDea’s operations, pricing, or promotions.
8.2 Such information must not be disclosed to third parties without written permission.
9. Term & Termination
9.1 These Terms remain in effect until terminated by either party.
9.2 LariDea may suspend or terminate an Affiliate immediately if:
- These Terms are breached
- The Affiliate’s actions harm LariDea’s reputation
- Fraud or abuse is suspected
9.3 Upon termination, Affiliates must cease using all Referral Tools and brand materials
10. Limitation of Liability
10.1 LariDea shall not be liable for indirect, incidental, or consequential damages arising from participation in the Program.
10.2 Participation is at the Affiliate’s own risk.
11. Relationship of the Parties
11.1 Affiliates are independent contractors and not employees, agents, or partners of LariDea.
11.2 Nothing in these Terms creates a joint venture or employment relationship.
12. Modifications
12.1 LariDea reserves the right to modify these Terms at any time.
12.2 Updated Terms will be communicated via email, website, or affiliate channel. Continued participation constitutes acceptance.
13. Governing Law
13.1 These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand.
13.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of Thailand.
